By accessing or using the LawFlux platform, website, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Services. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and LawFlux Inc. ("LawFlux," "we," "us," or "our").
We reserve the right to modify these Terms at any time. We will post the most current version on our website. If a modification meaningfully reduces your rights, we will notify you via email or a prominent notice on the Services. By continuing to use the Services after any changes become effective, you agree to be bound by the revised Terms.
Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and disclose information that pertains to your privacy. The Privacy Policy is incorporated into and subject to these Terms.
You must be at least 18 years old to use the Services. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 18 years old; (b) you have not previously been suspended or removed from the Services; and (c) your registration and your use of the Services is in compliance with any and all applicable laws and regulations.
To access certain features, you must register for an account. LawFlux provides an AI-powered legal intake and case management platform. We strive to keep the Services up and running; however, all online services suffer occasional disruptions and outages. LawFlux is not liable for any disruption or loss you may suffer as a result.
IMPORTANT NOTICE: LawFlux provides software tools only. We are not a law firm and do not provide legal advice. The summaries, categorizations, and outputs generated by our AI are for informational and organizational purposes only and should be reviewed and verified by a licensed attorney before being relied upon for any legal matter.
You retain all rights to the data you upload ("Client Data"). We implement industry-standard security measures to protect your data. However, you acknowledge that no method of transmission over the Internet or electronic storage is 100% secure.
Access to certain features requires payment of fees. You agree to pay all applicable fees related to your use of the Services. We reserve the right to change our price list and to institute new charges at any time, upon notice to you. All fees are non-refundable unless otherwise stated.
Subject to your compliance with these Terms, LawFlux grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes.
The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by LawFlux, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
You grant LawFlux a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute your User Content solely for the purpose of providing and improving the Services. You represent and warrant that you have all rights necessary to grant us this license.
You agree not to: (a) use the Services for any illegal purpose; (b) violate any third-party right; (c) scrape or crawl any part of the Services; (d) reverse engineer or attempt to extract the source code of the software; (e) interfere with security-related features.
The Services may contain links to third-party websites or resources. We provide these links only as a convenience and are not responsible for the content, products, or services on or available from those websites or resources.
Our Services may integrate with third-party applications (e.g., payment processors, cloud storage). Your use of such third-party applications is governed by their respective terms of service and privacy policies.
If you provide us with any feedback or suggestions regarding the Services ("Feedback"), you hereby assign to LawFlux all rights in such Feedback and agree that LawFlux shall have the right to use and fully exploit such Feedback and related information in any manner it deems appropriate.
We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
THE SERVICES ARE PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LAWFLUX DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL LAWFLUX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.
You agree to defend, indemnify, and hold harmless LawFlux and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from your use of the Services.
These Terms shall be governed and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Services shall be settled by binding arbitration in Atlanta, Georgia, in accordance with the commercial arbitration rules of the American Arbitration Association.
YOU AND LAWFLUX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations ("EAR") maintained by the U.S. Department of Commerce.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of LawFlux.
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
